DIN Application via DIR-3 or SPICe+: India MCA Rules
If you plan to become a director in any Indian company, you first need a Director Identification Number (DIN). It is a unique 8-digit number allotted by the Ministry of Corporate Affairs (MCA).
WHO NEEDS A DIN
Every person appointed as a director under the Companies Act, 2013 must hold a valid DIN. This applies to private companies, public companies, and One Person Companies. Without a DIN, you cannot be appointed as a director under Section 152(3). For existing companies, the appointment is then filed with MCA using Form DIR-12.
HOW TO APPLY
SPICe+ Part B (New Companies)
When incorporating a new company via SPICe+ on the MCA portal, DIN allotment for up to three proposed directors is built into the process (up to five for Producer companies). DIN is allotted along with the Certificate of Incorporation.
Form DIR-3 (Existing Companies)
To appoint a new director who lacks a DIN, file Form DIR-3 on MCA21. The form must be digitally signed by the applicant and verified by a Company Secretary (in full-time employment), Managing Director, Director, CEO, or CFO of the appointing company.
DOCUMENTS REQUIRED
For both SPICe+ and DIR-3:
- PAN card (mandatory for Indian nationals)
- Identity proof (voter ID, passport, or driving licence)
- Passport-size photograph
- Address proof (utility bill, bank statement, or Aadhaar)
- Board resolution proposing the appointment (required for DIR-3)
Foreign nationals need a valid passport in place of PAN.
KEY RULES
- One Person, One DIN: No individual can hold more than one DIN.
- Processing Time: Section 154 allows MCA up to one month, though straightforward cases are often processed within days.
- Use in All Filings: Your DIN must be quoted in every form or return filed with MCA.
- Annual KYC: File the DIR-3 KYC form to keep your DIN active. Missing the deadline attracts a penalty and deactivation.
